These Terms of Use (Terms) constitute a legally binding agreement between you and StreamForma (we, us, our, or Company) governing your access to and use of the streamhealth.co website (the Site) and any related services, features, content, or applications offered by StreamForma (collectively, the Services). By accessing or using the Site or Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Site or Services.

• Prohibited Uses: Post unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene content; impersonate any person or entity; post false or fraudulent information; violate third party IP rights; upload viruses or malware; attempt unauthorized access; use automated systems without permission; reverse engineer the Site; bypass security features; use for illegal purposes; engage in spam, phishing, fraud; use info to develop competing products. We reserve the right to remove content, terminate access, report violations to law enforcement, and take legal action.

Protected content includes: website design, text, graphics, images, videos, audio, logos, trademarks, service marks, software code, algorithms, databases, documentation, reports, educational materials, and marketing materials. Stream Health Trademarks: Stream Health (company name), Stream Health logo (three flowing purple streams design), Complete Records. Complete Revenue (tagline). You may not use our trademarks without our prior written permission.
  

Our Site may contain links to third-party websites or services, including: MedSync Corp (meetmedsync.com), Google Analytics, LinkedIn, Calendly (appointment scheduling), and industry publications. We do not control, endorse, or assume responsibility for the content, accuracy, opinions, privacy practices, products or services of third-party sites. You access third-party sites at your own risk. We integrate with third-party services: Google Workspace (email), Attio (CRM), Instantly.ai (email campaigns), Typeform/Jotform (forms), Calendly (scheduling), Webflow (hosting). Your use of these services may be subject to their respective terms and conditions.

THE SITE AND SERVICES ARE PROVIDED ON AN AS IS AND AS AVAILABLE BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING: Merchantability, Non-Infringement, Accuracy, Availability, Quality. You agree to indemnify, defend, and hold harmless Stream Health, MedSync Corp, and our respective officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys fees) arising from: Your use of the Site or Services, Your violation of these Terms, Your violation of any applicable law or regulation, Your violation of any third party rights (intellectual property, privacy, publicity, etc.), Content you submit or transmit through the Site, Your breach of any representation or warranty made herein, Any dispute between you and a third party arising from your use of the Site or Services. We reserve the right to assume exclusive defense and control of any matter subject to indemnification, require you to cooperate in the defense of such claims, and settle claims without your consent. Your indemnification obligations survive termination of these Terms.

We reserve the right to modify these Terms at any time, in our sole discretion. We will post updated Terms on this page and update the Last Updated date. For material changes, we will notify you via email (if you have an account) or prominent notice on the Site. Your continued use of the Site or Services after the effective date of modified Terms constitutes your acceptance of the changes. If you do not agree to the modified Terms, you must stop using the Site and Services. Stream Health does not collect, access, or process Protected Health Information (PHI) from individual patients. Our partnership facilitates connections between healthcare providers (Covered Entities) and MedSync Corp (Business Associate). We respect the intellectual property rights of others and expect users to do the same. We reserve the right to suspend or terminate your access to the Site or Services, with or without notice, for: Violation of these Terms, Fraudulent, abusive, or illegal activity, Posing a security or privacy risk, Non-payment (if applicable), At our sole discretion for any reason or no reason. Upon termination: Your right to access and use the Site and Services immediately ceases, We may delete your account and associated data (subject to retention obligations), You remain liable for any obligations incurred prior to termination, Sections of these Terms that by their nature should survive (indemnification, limitations of liability, dispute resolution) remain in effect. To the extent you have paid any fees (if applicable), termination does not entitle you to a refund unless required by law.

Arbitration will take place in Orange County, California or another mutually agreed location. YOU AND STREAM HEALTH AGREE THAT DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS ONLY. You waive any right to participate in a class action lawsuit, participate in a class-wide arbitration, act as a private attorney general, or bring claims on behalf of others. These Terms and any disputes arising from or relating to the Site or Services are governed by: The laws of the State of California, Federal laws of the United States, Without regard to conflict of law principles. For claims not subject to arbitration, you agree that: Exclusive jurisdiction lies with the state and federal courts located in Orange County, California, You consent to personal jurisdiction in these courts, You waive any objection to venue in these courts. If you access the Site from outside the United States, you are responsible for compliance with local laws. You consent to having your data transferred to and processed in the United States.

Entire Agreement: These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Stream Health regarding the Site and Services. These Terms supersede all prior agreements, understandings, or communications (whether oral or written) between you and Stream Health. Severability: If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the invalid provision will be modified to the minimum extent necessary to make it valid and enforceable. If modification is not possible, the provision will be severed from these Terms. The remaining provisions will remain in full force and effect. Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision. A waiver of any provision must be in writing and signed by an authorized representative of Stream Health. Assignment: You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. We may assign these Terms to any party at any time without notice or consent, including in connection with a merger, acquisition, or sale of assets. No Third-Party Beneficiaries: These Terms are solely for the benefit of you and Stream Health (and MedSync Corp to the extent referenced herein). No third parties have any rights to enforce these Terms or claim any benefit under them. Force Majeure: We are not liable for any failure or delay in performance due to causes beyond our reasonable control, including: Acts of God (natural disasters, pandemics, etc.), War, terrorism, or civil unrest, Government actions or regulations, Internet or telecommunications failures, Strikes, labor disputes, or supplier failures, Cyberattacks or hacking incidents. Survival: The following provisions survive termination of these Terms: Intellectual Property Rights (Section 5), Disclaimers and Limitations of Liability (Section 7), Indemnification (Section 8), Dispute Resolution and Arbitration (Section 12), Governing Law (Section 13), General Provisions (Section 15).
